PUBLIC OFFER AGREEMENT

for ordering, purchasing and delivery of goods

This Agreement constitutes an official and public offer by Sole Proprietor (FOP) Derkach Yurii Yuriiovych(hereinafter referred to as the “Seller”) to enter into a contract for the sale and purchase of goods offered through https://yungbabki.com (hereinafter referred to as the “Website”) with any legally capable person (hereinafter referred to as the “Buyer”).

Pursuant to Article 633 of the Civil Code of Ukraine, this Agreement constitutes a public contract and establishes the same general conditions for Buyers except where otherwise provided by applicable law.

By placing and confirming an order through the Website and/or completing payment, the Buyer confirms that they have read, understood and accepted the terms of this Agreement.

1. Terms and Definitions

1.1. Public Offer (“Offer”) means the Seller’s public proposal addressed to an indefinite number of persons to enter into a distance sale and purchase agreement under the terms specified herein.

1.2. Goods means any products displayed on the Website and selected by the Buyer for purchase.

1.3. Online Store means the Seller’s Website used for the remote sale of Goods.

1.4. Buyer means a legally capable natural person, including a Consumer, as well as a legal entity or sole proprietor where the relevant functionality is available on the Website, who places an order.

1.5. Seller means Sole Proprietor (FOP) Derkach Yurii Yuriiovych, acting in accordance with the laws of Ukraine.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer, and the Buyer undertakes to pay for and accept the Goods in accordance with this Agreement.

2.2. The name, size, colour, quantity, price, availability and estimated dispatch or production timeframe, where applicable, are displayed on the relevant product page and/or during checkout.

2.3. The Agreement is deemed concluded when the Buyer accepts this Offer by placing and confirming an order and/or completing payment.

3. Placing an Order

3.1. The Buyer places an order independently through the Website.

3.2. The Seller may clarify information provided by the Buyer and/or refuse to process an order where there is an obvious error, insufficient information, inability to fulfil the order or a reasonable suspicion of fraud.

3.3. When placing an order, the Buyer provides the information necessary to fulfil it, including their full name, telephone number, delivery details, email address where applicable, and any other information required for delivery or payment.

3.4. The name, quantity and price of the Goods are specified in the cart, checkout and/or order confirmation.

3.5. The Seller may request additional information where reasonably necessary to fulfil the order.

3.6. The Buyer’s personal information is retained and processed to the extent necessary to fulfil the order, meet the Seller’s legal obligations and in accordance with the Website’s Privacy Policy.

3.7. The Buyer is responsible for ensuring that all information provided is accurate and up to date.

3.8. By placing an order, the Buyer confirms acceptance of this Offer and agrees to the processing of personal data in accordance with Ukrainian law and the Website’s Privacy Policy.

4. Prices, Payment and Delivery

4.1. Prices on the Website may be displayed in Ukrainian hryvnia and/or other currencies depending on Website settings, the Buyer’s location and available payment methods.

4.2. The Seller may change the prices of Goods without prior notice. The price of an order that has already been confirmed and paid will not be changed.

4.3. Shipping costs are calculated during checkout and depend on the destination country, city, shipping method and carrier.

4.4. Orders within Ukraine may be delivered by Nova Poshta. The estimated delivery time is 3–7 business days after the parcel has been handed over to the carrier.

4.5. International delivery may be provided through Nova Post Global or other available carriers. The estimated international delivery time is 1.5–4 weeks after the parcel has been handed over to the carrier.

4.6. The Seller generally hands the parcel over to the carrier within up to 5 business days after payment, unless a different timeframe is stated on the relevant product page.

4.7. After dispatch, tracking information may be sent to the Buyer by email or another available communication method.

4.8. Customs duties, import taxes and other charges imposed in the destination country, where applicable, are the responsibility of the Buyer unless otherwise required by law.

4.9. Payment is made online during checkout using payment methods available on the Website, which may include Visa, MasterCard, Apple Pay, Google Pay and other available payment options.

4.10. Payment is deemed completed when it has been confirmed by the payment provider or credited to the Seller.

4.11. Upon receiving the Goods, the Buyer should inspect the packaging and verify that the order corresponds to what was purchased.

4.12. If shipping damage is discovered, the Buyer is advised to document it with the carrier and contact the Seller.

5. Rights and Obligations of the Parties

5.1. The Seller shall fulfil orders in accordance with their confirmed terms and maintain the confidentiality of the Buyer’s personal data except where disclosure is required by law or necessary to fulfil the order.

5.2. The Seller may amend this Agreement and the prices of Goods by publishing an updated version on the Website. Changes apply to orders placed after the updated terms become effective.

5.3. Before placing an order, the Buyer shall review the characteristics of the Goods, price, payment terms, delivery terms, return conditions and this Agreement.

5.4. The Buyer shall provide complete, accurate and current information required to fulfil the order.

6. Returns and Exchanges

6.1. Returns and exchanges are governed by applicable law, this Agreement and the separate Returns & Refund Policy published on the Website.

6.2. Where general return rules for goods of proper quality apply, the Buyer may request a return or exchange within 14 calendar days from delivery, subject to the applicable conditions.

6.3. The Goods must remain unused and show no signs of wear, washing or damage, with applicable tags, labels and original packaging preserved.

6.4. Certain categories of goods of proper quality may not be eligible for return or exchange where provided by applicable law. Such categories may include underwear, hosiery and certain hygiene-related products.

6.5. These restrictions do not affect the Buyer’s statutory rights where the wrong product was delivered, the product is defective, or applicable law otherwise provides a right to return or refund.

6.6. Unless the return results from the Seller’s error or a confirmed defect, return shipping costs are paid by the Buyer unless otherwise required by law.

6.7. Custom-made or personalized Goods may not be eligible for return to the extent permitted by applicable law.

6.8. The return address is provided after the Buyer contacts the Seller and the return request is reviewed.

6.9. Returns sent without prior coordination may experience processing delays.

6.10. Detailed return and refund conditions are set out in the Returns & Refund Policy available on the Website.

7. Liability of the Parties

7.1. The Seller is not responsible for damage caused by improper use, care, storage or actions of third parties after the Goods have been received by the Buyer.

7.2. The Seller is not responsible for failure or delay in fulfilling an order caused by incorrect or incomplete information supplied by the Buyer.

7.3. The Parties are liable for failure to perform their obligations in accordance with applicable Ukrainian law.

7.4. Neither Party shall be liable for failure or delay caused by force majeure circumstances, including war, hostilities, missile attacks or other attacks, interruptions to energy, transport or telecommunications infrastructure, natural disasters, governmental actions and other circumstances beyond the reasonable control of the affected Party.

7.5. Where such circumstances occur, performance deadlines may be extended for the duration of the relevant circumstances and for the period reasonably required to restore normal operations.

8. Privacy and Personal Data

8.1. By placing an order, the Buyer agrees to the processing of personal data to the extent necessary to accept, process, receive payment for, deliver and return an order and to communicate with the Buyer.

8.2. The Seller may disclose personal data to payment providers, banks, delivery companies, Shopify and other service providers only to the extent necessary to provide the relevant services.

8.3. Detailed information concerning personal data processing is set out in the Website’s Privacy Policy.

8.4. The Buyer is responsible for ensuring that the personal information they provide remains accurate and current.

9. Final Provisions

9.1. This Agreement is governed by the laws of Ukraine.

9.2. The Parties shall attempt to resolve disputes through negotiations. If no agreement can be reached, disputes shall be resolved in accordance with applicable law.

9.3. If any provision of this Agreement is held to be invalid or unenforceable, the validity of the remaining provisions will not be affected.

9.4. The current version of this Agreement is published on the Website.
